Basic information:

According to the Hong Kong Companies Ordinance, every Hong Kong Company must appoint a company secretary. Company secretary may be an individual person or a corporation. An individual person must be resident in Hong Kong while a corporation must have its registered office in Hong Kong or have a place of business in Hong Kong.

The duties of the company secretary include:

Assist in preparing shareholder and board of directors meetings,
Write up the minutes,
Update various registers of the company such as registers of members and directors
Make sure the company complies with the requirements of the Companies Ordinance such as filing of the Annual Return.
